As part of the agreement, inter alia, instructions were set forth regarding the investment of capital by the shareholders in the New Company (to an extent that is not material to The Phoenix) regarding the management of the New Company's activities as well as provisions regarding the transferability of the New Company's shares, as is customary in agreements of this type.The transaction is subject to some preconditions, including the requirements and conditions for obtaining an insurance license and permit to control the insurer in accordance with the Control of Financial Services (Insurance) Law, 5741-1981.The Phoenix will hold 70% of the Subsidiary's share capital and Mr. Oren Cohen will own the remaining 30%. It should be noted that Mr. Oren Cohen owns 30% of the shares of Oren-Mizrah Insurance Agency Ltd., in which The Phoenix (indirectly) owns 70%. false
