מצורפת בזאת מצגת אינפורמטיבית של החברה באנגלית המתבססת בעיקרה על המצגת בעברית שפורסמה על ידי החברה ביום 24 בנובמבר, 2010 (אסמכתא 2010-01-692400) ("המצגת בעברית"), בתרגום נוחות לאנגלית. המצגת תוצג בפני משקיעים בעקבות פרסום הדוחות הכספיים של החברה ליום 30 בספטמבר 2010 ("הדוחות הכספיים"). מצגת זו מיועדת למשקיעים מוסדיים בלבד ואינה מהווה הצעה לרכישה או מכירה של ניירות ערך של החברה או הזמנה לקבלת הצעות כאמור והיא מיועדת כאמור, למסירת מידע בלבד למשקיעים בחו"ל אודות החברה (non-deal road-show presentation). המידע אשר ישמש להצגת המצגת מוצג למטרות נוחות בלבד ואינו מהווה בסיס לקבלת החלטת השקעה, המלצה או חוות דעת ואינו מהווה תחליף לשיקול דעת של המשקיע. יצוין, כי המצגת באנגלית אינה מהווה תחליף לקריאת הנוסח המחייב בעברית של הדוחות הכספיים והמצגת בעברית במלואם. החברה אינה מתחייבת כי התרגום לאנגלית הינו מלא ומדויק. והנוסח המחייב לכל עניין הינו הנוסח בעברית כפי שפרסמה החברה כאמור לעיל. בשקופיות המפורטות להלן כלול מידע שאינו נכלל בדוחות הכספיים האמורים ו/או במצגת בעברית: שקופית 11-14 כולל: בתוספת למידע שנכלל במצגת החברה במסגרת ההנפקה, נוספה עמודה המייצגת את ה-NOI לשנת 2010 בנכסים עיקריים )מרכז עזריאלי, קניון עזריאלי ירושלים, קניון עזריאלי איילון וקניון עזריאלי גבעתיים(, כאשר החישוב נעשה על בסיס נתוני NOI ב- 9 החודשים הראשונים של 2010 , בתוספת NOI לרבעון רביעי הזהה לתוצאות הרבעון השלישי בכלאחד מהנכסים האמורים. שקופית 24 - שיעור נכסי החברה מסך המאזן על בסיס נתונים בדוח סולו מורחב של החברה (נספח ה' לדוח הדירקטוריון ליום 30 בספטמבר, 2010 ), נתונים בדוח הדירקטוריון וביאור מגזרים. שקופית 25 - פילוח מפורט של מצבת התחייבויות החברה (פילוח נתונים שנכללו במצבת ההתחייבויות שפרסמה החברה ביום 24 בנובמבר, 2010 (אסמכתא: 2010-01-692286). בנוסף, בשאר המצגת נכלל מידע שעשוי להיחשב ככזה שהוצג באופן ו/או בעריכה ופילוח שונה מהאופן בו הוצג בדוחות הכספיים האמורים, לרבות המידע הכלול בשקפים 8, 9, 16, 21 ו-22 למצגת אשר אינו מופיע במתכונת זו בדוחות הכספיים, במצגת בעברית או בדיווחי החברה, אך הוא ניתן לחישוב מתוך הנתונים הכלולים בדוחות החברה ליום 30 בספטמבר 2010. יצוין, כי שקפים 4, 5 ו-32 כוללים נתונים ביחס למשק הישראלי או המתפרסמים על ידי גופים מקצועיים

This presentation will be presented to investors following the publication of the Company's financial reports as of September 30, 2010 (the "Financial Reports"). This presentation intended for institutional investors only.
